Job Overview
As General Counsel, you will serve as the chief legal officer responsible for providing comprehensive legal guidance and strategic counsel to executive leadership and board members. This role requires expertise in corporate governance, regulatory compliance, risk management, and complex business transactions within the US legal framework.
General Counsel responsibilities include:
1. Provide strategic legal advice to C-suite executives and board of directors on corporate governance matters
2. Manage all corporate legal affairs including mergers, acquisitions, and major business transactions
3. Oversee compliance with SEC regulations, federal and state laws, and industry-specific regulations
4. Direct litigation strategy and manage relationships with external law firms
5. Develop and implement corporate policies and compliance programs
6. Manage intellectual property portfolio and protection strategies
7. Oversee contract negotiation and review for all major business agreements
8. Provide guidance on employment law matters and corporate ethics programs
1. Juris Doctor (JD) degree from an ABA-accredited law school
2. Active membership in good standing with at least one state bar association
3. Minimum 15 years of progressive legal experience with at least 5 years in executive legal role
4. Extensive experience with corporate governance, SEC compliance, and regulatory affairs
5. Proven track record in managing complex business transactions and M&A activities
6. Deep understanding of US federal and state legal systems and regulatory frameworks
7. Experience in litigation management and risk assessment strategies
8. Demonstrated leadership in legal department management and budget oversight
Preferred Qualifications
1. Experience in both law firm and in-house counsel environments
2. Background in publicly traded companies and SEC reporting requirements
3. Expertise in specific industry regulations (financial services, healthcare, or technology sectors)
4. Experience with international legal matters and cross-border transactions
5. Previous role in Fortune 500 or large multinational corporation
6. Advanced degree (LLM) in corporate law, business law, or related specialty
7. Experience with digital transformation and technology law considerations
8. Background in crisis management and corporate communications strategy
