Job Overview
We are seeking an experienced Corporate Attorney to provide comprehensive legal counsel and support across all aspects of corporate law. This role requires expertise in corporate governance, compliance, transactions, and risk management for our US-based operations. The ideal candidate will have a strong background in handling complex legal matters while supporting business objectives and ensuring regulatory adherence.
Corporate Attorney responsibilities include:
1. Draft, review, and negotiate various corporate agreements including M&A documents, partnership agreements, and commercial contracts
2. Provide legal guidance on corporate governance matters and board resolutions
3. Manage regulatory compliance with SEC filings, SEC regulations, and state corporate laws
4. Advise on corporate structure, entity formation, and restructuring initiatives
5. Handle intellectual property protection, licensing agreements, and trademark matters
6. Conduct legal research and analysis on emerging corporate law issues
7. Manage litigation matters and coordinate with external counsel when necessary
8. Develop and implement corporate policies and compliance programs
9. Provide counsel on employment law matters affecting corporate operations
10. Oversee risk management and corporate insurance programs
1. Juris Doctor (JD) degree from an ABA-accredited law school
2. Active membership in good standing with at least one state bar association
3. Minimum 5 years of corporate law experience at a reputable law firm or corporate legal department
4. Proven expertise in contract drafting, negotiation, and corporate transactions
5. Comprehensive knowledge of Delaware General Corporation Law and SEC regulations
6. Experience with corporate governance and board meeting procedures
7. Strong understanding of business formation and corporate compliance requirements
8. Excellent legal research and writing skills with attention to detail
9. Ability to manage multiple projects and deadlines effectively
10. Demonstrated problem-solving and analytical thinking capabilities
Preferred Qualifications
1. Experience in mergers and acquisitions exceeding $50M transaction value
2. Background in technology, healthcare, or financial services industries
3. Previous in-house counsel experience at a publicly traded company
4. Expertise in international corporate law and cross-border transactions
5. Experience with corporate compliance programs and ethics training
6. Knowledge of data privacy regulations (CCPA, GDPR)
7. Background in venture capital or private equity transactions
8. Experience with corporate securities law and public offerings
9. Proficiency in legal technology and contract management systems
10. Advanced degree (LL.M.) in corporate law or business-related field
