Job Overview
We are seeking an experienced Commercial Contracts Attorney to join our legal team. This role will be responsible for drafting, reviewing, and negotiating a wide range of commercial agreements while providing strategic legal counsel to business stakeholders. The ideal candidate will have strong expertise in contract law, risk assessment, and compliance matters within the US legal framework.
1. Draft, review, and negotiate various commercial contracts including master service agreements, vendor contracts, licensing agreements, and partnership agreements
2. Provide legal advice on contract interpretation, risk allocation, and compliance requirements
3. Manage contract lifecycle from initiation through execution and renewal
4. Identify and mitigate legal risks in business transactions
5. Collaborate with internal stakeholders including sales, procurement, and finance teams
6. Develop and maintain contract templates and standard clauses
7. Resolve contract disputes and manage termination procedures
8. Ensure compliance with US federal and state contract laws and regulations
1. Juris Doctor (JD) degree from an ABA-accredited law school
2. Active membership in good standing with at least one US state bar
3. Minimum 5 years of commercial contracts experience in a law firm or corporate legal department
4. Extensive experience drafting and negotiating complex commercial agreements
5. Strong knowledge of US contract law, UCC, and commercial litigation principles
6. Excellent written and verbal communication skills
7. Ability to manage multiple priorities and meet deadlines in fast-paced environment
Preferred Qualifications
1. Experience in technology, healthcare, or financial services industries
2. Background in both law firm and in-house corporate environments
3. Expertise in specific contract types (SaaS agreements, data processing agreements, etc.)
4. Experience with contract management software and CLM systems
5. Knowledge of international contract law and cross-border transactions
6. Additional bar admissions in multiple US states
