Commercial Contracts Attorney responsibilities include:

1. Draft, review, and negotiate various commercial contracts including master service agreements, vendor contracts, licensing agreements, and partnership agreements 2. Provide legal advice on contract interpretation, risk allocation, and compliance requirements 3. Manage contract lifecycle from initiation through execution and renewal 4. Identify and mitigate legal risks in business transactions 5. Collaborate with internal stakeholders including sales, procurement, and finance teams 6. Develop and maintain contract templates and standard clauses 7. Resolve contract disputes and manage termination procedures 8. Ensure compliance with US federal and state contract laws and regulations

Must-Have Requirements

1. Juris Doctor (JD) degree from an ABA-accredited law school 2. Active membership in good standing with at least one US state bar 3. Minimum 5 years of commercial contracts experience in a law firm or corporate legal department 4. Extensive experience drafting and negotiating complex commercial agreements 5. Strong knowledge of US contract law, UCC, and commercial litigation principles 6. Excellent written and verbal communication skills 7. Ability to manage multiple priorities and meet deadlines in fast-paced environment
